FBE Seller Service Agreement

Welcome to the FBE Cross-border E-commerce Platform (the "Platform"), accessible at https://www.fbehk.com. This Agreement (the "Agreement") is a legally binding contract between you (the "Seller") and the owner and operator of the Platform (referred to as "we," "us," or "FBE"). By registering as a Seller and clicking "Agree" or similar buttons, you acknowledge acceptance of all terms and conditions herein.

Section 1. Acceptance and Amendment

  1. This Agreement governs your use of Platform services for selling goods.
  2. We reserve the right to modify this Agreement. Amendments will be published on the Platform. Continued use after amendment implies acceptance. If you disagree, cease using the Platform.

Section 2. Seller Eligibility and Registration

  1. You must be a natural person, legal entity, or organization with full capacity. If lacking capacity, you and your guardian bear all consequences.
  2. Provide true, accurate, complete registration information (e.g., entity name, license, contacts). False information disclaims Platform liability.
  3. Comply with this Agreement and all Platform rules, policies, and guidelines.

Section 3. Platform Services and Usage

  1. Services include product listing, order management, payment settlement, logistics coordination, and customer support.
  2. Use the Platform lawfully. Prohibited activities: illegal goods, IP infringements, fraud, etc.
  3. Ensure products meet quality standards and provide origin/inspection documents.
  4. Accurately set product info (e.g., description, price, shipping). Misinformation liability is yours.
  5. Fulfill orders promptly, provide after-sales services, and address customer complaints.

Section 4. Fees and Settlement

  1. You shall pay the relevant service fees as stipulated by this platform, including but not limited to platform usage fees, transaction fees, etc. The specific fee standards and payment methods shall be subject to the information published on this platform.
  2. Platform will settle funds to your designated account based on sales. Settlement failures due to your errors are your responsibility.

Section 5. Intellectual Property

  1. You warrant products and content do not infringe third-party IP (e.g., trademarks, patents, copyrights). You bear all infringement liabilities.
  2. Platform content (text, images, software, trademarks) is protected. Unauthorized use, reproduction, or modification is prohibited.

Section 6. Data Use and Confidentiality

  1. Platform collects and processes your registration, transaction, and product data as per its Privacy Policy.
  2. Keep other sellers' and consumers' data confidential. No leaks or misuse.

Section 7. Liability Limitations and Disclaimers

  1. Platform strives for service stability but does not guarantee timeliness, security, or accuracy.
  2. To the extent permitted by law, we are not liable for direct, indirect, consequential damages resulting from:
    • Force majeure (e.g., natural disasters);
    • Third-party actions (e.g., network failures, payment system issues);
    • Your violations or negligence.
  3. You assume risks related to cross-border trade (e.g., customs, taxes, import restrictions).

Section 8. Agreement Termination

You can terminate services by notifying the Platform and completing required procedures.

We may terminate the Agreement and close your account if:

  • You violate this Agreement or Platform rules;
  • You engage in illegal activities;
  • You cease operations or become insolvent;
  • Other circumstances deemed necessary by us.

Upon termination: all rights cease except for IP, liability, and dispute clauses.

Section 9. Miscellaneous

Headings are for convenience only and do not affect interpretation.

If any provision of this Agreement is determined to be invalid or unenforceable, it shall not affect the validity of the remaining provisions.

The Platform reserves the final interpretation right.
